Terms and Conditions
Terminology
You – The client.
Us – Silicon Dragon, henceforth referred to as the Agent.
The contract – any services agreed between the Agent and the Client to be delivered to an agreed timeframe or on a regular basis.
1 The agent agrees to
1.1 Carry out services in a professional manner.
1.2 Make every effort to adhere to agreed deadlines.
1.3 Give the client advanced notice of failure to meet deadlines where possible.
1.4 Provide a reasonable number of designs and revisions to designs during the process. Charge reasonable fees for revisions out of the scope of the project.
2 The client agrees to
2.1 Provide the agent with everything requested for a project in a reasonable time-frame.
2.2 Provide feedback or document sign-offs to the agent in a reasonable time-frame when requested.
2.3 Give the agent advanced notice of failure to meet deadlines where possible.
2.4 Maintain payments to the agreed terms.
2.5 Indemnify the agent for all reasonable costs incurred due to the clients action or inaction outside of the scope of the contract.
3 Amendments to a contract
3.1 The agent
3.1.1 The agent reserves the right to amend the terms of a contract on or after the agreed end date if renewal agreements or extensions have not been agreed by the client.
3.1.2 The agent agrees to give notice to the client of not less than 30 days in the event of amendments to the terms of a contract by the agent.
3.2 The client
3.2.1 Should the client wish to make alterations to a contract prior to the agreed end date, the client agrees that the agent may charge administrative fees to perform the amendments.
3.2.2 Should the client wish to amend a rolling contract (a contract beyond it’s initial end date), the client agrees to give no less than 30 days notice of amendment.
3.2.3 On amending a contract the client agrees to pay any administration fees within 30 days of amendment.
4 Cancellations
4.1 The agent
4.1.1 The agent reserves the right to cancel a contract on or after the agreed end date if renewal agreements or extensions have not been agreed by the client.
4.1.2 The agent agrees to give notice to the client of not less than 30 days in the event of cancellation of a contract by the agent.
4.1.3 In the event that the agent can no longer fulfil a contract prior to it’s agreed end date, the agent agrees to refund any fees for products or services not delivered up to the agreed end date of the contract.
4.1.4 The agent agrees to allow a contract past it’s end date to become a rolling contract provided the following:
4.1.4(a) The client has maintained financial obligations to the satisfaction of the agent.
4.1.4(b) The client has maintained good relations with the agent.
4.1.4(c) The client has not breached any of the terms of the contract.
4.2 The client
4.2.1 Should the client cancel a contract prior to the agreed end date either by request or through non payment of fees, the client agrees that the agent may charge up to 100% of the balance of the contract as a cancellation fee.
4.2.2 Should the client wish to cancel a rolling contract (a contract beyond it’s initial end date), the client agrees to give no less than 30 days notice of cancellation.
4.2.3 On cancelling a contract the client agrees to pay any outstanding fees within 30 days of cancellation.
5 Third party services
5.1 The agent
5.1.1 The agent reserves the right to remove a service without refund in the event that a 3rd party provider discontinues a service that the agents service is reliant on to operate.
5.1.2 The agent agrees to give notice to the client of not less than 30 days in the event of closure of a service where known in advance.
5.1.3 The agent agrees to refund any payments by the client directly to the agent for services using a third party provider that have not already been paid to the third party provider by the agent.
5.1.4 The agent agrees to allow a contract past it’s end date to become a rolling contract provided the following.
5.1.5 The agent reserves the right to amend fees directly resulting from a change in the pricing of a third party service paid for by the agent.
5.2 The client
5.2.1 The client agrees to maintain and pay any necessary fees by third party services where a service provided under the contract is reliant on that third party service to operate.
4.2.2 The client agrees to indemnify the agent for all reasonable costs that are incurred due to failure by the client to maintain a third party service.
6 Domain names and web hosting
6.1 The agent uses third parties to register domain names and to provide web hosting.
6.2 The client
6.2.1 The client agrees to pay domain and hosting fees directly to the third party provider.
6.2.1 The client agrees to maintain payments to third parties in good order and not hold the agent responsible where failure to pay the third parties results in a failure of the agents services.
6.2.3 The client agrees not to hold the agent responsible for any website outages or performance issues where the third party provider is responsible and to communicate directly with the third party where necessary to resolve the issues where the agent has not agreed to represent the client with said third party.
7 Changes to terms and conditions
7.1 The agent
7.1.1 The agent reserves the right to add, delete or modify these terms and conditions without any notice. The latest terms are always available on the website.
7.2 The client
7.2.1 The client agrees to be bound by the terms and conditions on the website and to visit regularly to check for updates.
